Construction Joint Stock Company 47 (C47) discloses the supplementary evaluation and recommendation of the Board of Directors on VP Invest Co., Ltd.’s public tender offer for C47 shares, on the basis of the updated and supplemented public tender offer registration dossier.
Person making the disclosure: Mr. Trinh Quoc Tho – Person in charge of corporate governance under Authorization No. 1158/2020/UQ-CC47 dated September 5, 2020 of the Company’s General Director.
Developments of the public tender offer dossier
- September 8, 2026: C47 received VP Invest Co., Ltd.’s registration dossier for the public tender offer; the Board of Directors gave its opinion in Resolution No. 60/2026/NQ-HĐQT and Official Letter No. 01/2026/YK-HĐQT dated September 16, 2026.
- October 2, 2026: C47 received the updated dossier for the registration of the public tender offer.
- October 15, 2026: C47 received the supplementary and corrected dossier for the registration of the public tender offer.
Supplementary evaluation and recommendation of the Board of Directors
On the basis of reviewing the contents of the aforementioned updated and supplemented dossier, on October 16, 2026 the C47 Board of Directors met and adopted the supplementary evaluation and recommendation, with 06/06 Board members with voting rights in favor (100%), excluding 01 member, Mr. Pham Nam Phong – Chairman of the Board of Directors (a related person, without voting rights). Content of the recommendation:
- VP Invest Co., Ltd.’s public tender offer for C47 shares is public and transparent, in accordance with prevailing legal regulations.
- VP Invest Co., Ltd. is requested to carry out the public tender offer procedures with the competent authorities in accordance with the law before transacting.
- The General Director (the legal representative)/the person authorized to disclose information of C47 is assigned to disclose information on VP Invest Co., Ltd.’s public tender offer in accordance with the law.
Expected ownership of the shareholder group after the offer (if successful)
The registered volume of the public tender offer is 30,000 shares (0.0825% of the total voting shares of C47). Securities company acting as the public tender offer agent: FPT Securities Joint Stock Company – Ho Chi Minh City Branch. Only VP Invest conducts the offer for an additional 30,000 shares; the ownership of the other parties remains unchanged.
