On April 24, 2022, at the 11^th-Floor Hall, Building 47 – Hai Au Bien Cuong Hotel, No.8 Bien Cuong Str., Quy Nhon city, Binh Dinh province, Construction Joint Stock Company 47 (HOSE: C47) held the 2022 Annual General Meeting of Shareholders. Attendees at the General Meeting were 46 ownership and authorized delegates who representing 15,157,940 voting shares, accounting for 55.06% of total number of voting shares.

 

The General Meeting heard the 2021 Report of the Board of Directors (BOD) and the 2022 Management Plan; the 2021 Report of the Audit Committee and the 2022 Acting Plan; The Proposals of the BOD submitted to the General Meeting of Shareholders.

 

The General Meeting discussed, voted for approval and come into the General Meeting Resolution with the following main contents:

– Approved the 2021 Reports of the BOD and the Audit Committee and the 2021 Acting Plan.

– Approved the 2021 Consolidated Financial Statement and the audited 2021 Separate Financial Statement.

– Approved the 2021 Profit Distribution Plan and the 2022 Dividend Pay Plan, specifically: The minimum dividend payment rate for 2022 is 10% from profit after tax.

– Approved the shares issuance plan for 2021 dividends pay.

– Approved the shares issuance plan to increase the share capital from owners’ equity (bonus shares of 2021).

• Approved the 2022 Business Plan with the following targets:

+ Total Revenue: 1,400 billion VND.

+ Profit After Tax: 60 billion VND.

– Approved the authorization for the Board of Directors to select an Audit unit to review the Semi-Annual Financial Statements and audit the 2022 Financial Statements.

– Approved the 2021 remuneration for the Board of Directors and the plan for the 2022 remuneration for the Board of Directors.

– Approved the share offering plan to increase charter capital.

– Approved the election of additional members of the Board of Directors for the 2020-2025 term.

At the General Meeting, the shareholders elected the additional member of the BOD for the 2020-2025 term. As a result, Mr. Le Dong Lam was elected to the C47 BOD for the 2020-2025 term with the approval rate of 100%. Thus, the new C47 BOD consists of 8 members: Mr. Pham Nam Phong – Chairman, Mr. Ta Nam Binh – Vice Chairman, Mr. Le Trung Nam – Member, Mr. Duong Minh Quang – Member, Mr. Bui Van Tuynh – Member, Mr. Le Dong Lam – Member, Mr. Vo Trong Hieu – Member and Mr. Nguyen Huu Hai – Member.

 

With high consensus and unanimity (100% rate), the General Meeting of Shareholders unanimously approved the issues that the BOD submitted to the General Meeting of Shareholders and assigned the BOD for implementation.

February 15, 2022, in Tay Son district, Binh Dinh province. People’s Committee of Binh Dinh province held the Groundbreaking Ceremony of Phu Phong Weir Dam project. Construction Joint Stock Company 47 (HOSE: C47) is the Main Contractor of Package No.01-XL: Construction and equipment installation for the whole project.

Attended the ceremony, on the Central side, there were President Nguyen Xuan Phuc, leaders of agencies, ministries and branches; On Binh Dinh side, there were Mr.Ho Quoc Dung – Member of Party Central Committee (PCC), Secretary of Provincial Party Committee, Chairman of Provincial People’s Council, Mr.Le Kim Toan – Standing Deputy Secretary of Provincial Party Committee, Head of the provincial National Assembly delegation, the former Secretaries of Provincial Party Committee, Mr.Nguyen Phi Long – Alternate Member of Party Central Committee, Chairman of Provincial People’s Committee and the leaders of agencies, departments and units of Binh Dinh province; On the side of Binh Dinh Province’s Agriculture and Rural Development Project Management Board (the Owner), there was Mr.To Tan Thi – Director; On the side of C47, there were Mr.Pham Nam Phong – Chairman of Board of Directors (BOD), Mr.Duong Minh Quang – Member of BOD cum General Director, Mr.Vo Trong Hieu – Member of BOD cum Head of Internal Audit Board, Mr.Nguyen Huu Hai – Member of BOD cum Deputy General Director, members of the Managerial Board, Heads and Vice Heads of Functional departments under the Company; Representatives of the Design Consultant, Supervision Consultant and number of people in the project area.

Phu Phong Weir Dam project has a total investment of more than 754 billion VND, of which the central budget is 550 billion VND, the rest is local budget, is expected to be constructed within 28 months.

Main item of Phu Phong Weir Dam project is a reinforced concrete weir dam. Total length of dam is 589m, including 350m-wide gate-installed dam at middle the river with 20 gated-cells, each cell wide 15m, the flat steel gates operated by winches; weir spillway on both sides is 239m wide. A 10m-wide traffic bridge including 29 spans, main girder is made of prestressed reinforced concrete on the weir dam.

Phu Phong Weir Dam project, besides its tasks for ensuring stable water supply for 450ha of agricultural and industrial production, living needs, aquaculture, improving the ecological environment in the area, the project also connects traffic on both Kon River banks, from National Highway 19 to National Highway 19B then to Phu Cat Airport and connecting Tay Son center with the northern communes of the district and the western communes of Phu Cat district, facilitate for trade transaction and contributing to the local socio-economic promotion. The project also assumes task of air regulation, creating source of groundwater for the area and for implementation of National Target Program of New Rural Development, sustainable development of the local economy.

C47, Vu Phong Energy Group and STEAG will cooperate to provide consulting services for win projects development and implementation, bases on promoting and combining their own strengths.

Afternoon of 15 December, Construction Joint Stock Company 47, Vu Phong Energy Group Joint Stock Company and STEAG Energy Services GmbH (Germany) signed MoU to provide the consulting services for win power project development and implementation in Vietnam.

The Signing ceremony took place in the background that Vietnam is actively promoting the structural transformation of the energy industry and carry out the commitments on greenhouse gas emissions cutoff, aim the goal of net zero emissions by 2050.

Wind power market is at an early stage of development, with great growth potential and wind power is considered to be one of the important cores of Vietnam’s energy system in the future.

According to the signed agreement, C47, Vu Phong Energy Group and STEAG will cooperate to provide consulting services for win project development and implementation, on the basis of the promotion and combination of their own strengths.

Accordingly, STEAG brings in expertise of a world-leading unit in technical and consulting services for wind project development to the investors, with its strong international experience, especially in Europe and Asia. STEAG also owns a modern technology platform with smart digital solutions for wind power industry.

C47 has strong capacity in the construction sector, which implemented many large-scale irrigation and hydropower projects, national-key projects. C47 was also a main contractor for Bac Ai pumped-storage hydropower project with capacity of 1,200 MW – the first pumped-storage hydropower project in Vietnam and the largest one in Southeast Asia up to now
